The executive members of the Board of Directors are remunerated by the shareholder ATPS-
SGPS, SA, which has subscribed a contract for services with Ibersol Restauração, SA., having
received for such services, in 2016, a total of 800.000,00 euros. One of the obligations of
ATPS-Sociedade Gestora de Participações Sociais, SA. under the service agreement with Iber-
sol, Restauração, SA. is to ensure that the directors of the Company António Carlos Vaz Pinto
de Sousa and António Alberto Guerra Leal Teixeira perform their duties without the Company
incurring any additional expense. So, the Company does not directly pay any remuneration to
any of its executive directors. Given that ATPS-Sociedade Gestora de Participações Sociais, SA.
is owned by the directors António Carlos Vaz Pinto de Sousa and António Alberto Guerra Leal
Teixeira, out of the above mentioned total of 800.000,00 euros in 2016, each director received
the amount of 400.000,00 euros. The executive directors do not receive any remuneration
from other companies in the Group and acquired no pension rights in the year in question.
The non-executive member receives a fixed annual remuneration of 6,000.00 euros and no
other remuneration of any kind. In particular, he receives no performance award, bonus or
complementary performance-related fees, retirement supplement or any additional payments
beyond the annual amount of 6,000.00 euros delivered to him by the Company.
